149a relationship between an undertaking (“A”) and another undertaking (“B”) where:

  1. (1) A and B are not connected by virtue of being a parent undertaking and subsidiary undertaking in accordance with section 1162 (read together with Schedule 7) of the Companies Act 2006; and
  2. (2) the administrative, management or supervisory bodies of A and B consist, for the major part, of the same persons in office during the financial year in respect of which it is being decided whether such a relationship exists.
