1A firm must establish, implement and maintain adequate policies and procedures sufficient to ensure compliance of the firm including its managers, employees and appointed representatives (or where applicable, tied agents)3 with its obligations under the regulatory system and for countering the risk that the firm might be used to further financial crime.2[Note: article 13(2) of MiFID and article 12(1)(a) of the UCITS Directive]8242
(1) When an issuer is
permitted to delay public disclosure of inside
information in accordance with DTR 2.5.1 R, it may selectively disclose
that information to persons owing
it a duty of confidentiality.(2) Such selective disclosure may be
made to another person if it
is in the normal course of the exercise of his employment, profession or duties.
However, selective disclosure cannot be made to any person simply
because they owe the issuer a
duty of confidentiality. For example,
