146a transaction where:

1. (a) the issuer has a market capitalisation that is equal to or more than £1.5billion; and
   1. (i) the issuer is a new applicant for a listing in the equity shares (commercial companies) category or the closed-ended investment funds category225; or
   2. (ii) it has submitted to the FCA for approval or review a document in relation to:225
   3. 225(A) a reverse takeover by an issuer that does not have a listing in the equity shares (commercial companies) category and is not a closed-ended investment fund;
   4. (B) an initial transaction;
   5. (C) a hostile takeover; or
   6. (D) a significant restructuring; or
2. (b) the issuer has a market capitalisation that is equal to or more than £5billion and has submitted to the FCA for approval or review:
   1. (i) a prospectus for equity securities or specified exempted documents190;
   2. (ii) a prospectus or listing particulars in relation to a certificate representing certain securities;
   3. (iii) a document in relation to a reverse takeover by an issuer with a listing in the equity shares (commercial companies) category; or225
   4. 225(iv) a document in relation to a reverse takeover by a closed-ended investment fund.
