a firm in a group that:

  1. (a) prepares group accounts under section 399 of the Companies Act 2006 or section 72E of the Building Societies Act 1986 relating to all the banks and building societies in the group; and
  2. (b) does not have a subsidiary undertaking that prepares such group accounts.
